Under section 474 of the Companies Ordinance (Cap. 622), every Hong Kong company must have a company secretary, who keeps the company’s statutory records and makes sure its filings with the Companies Registry are made on time.
Who can act as company secretary of a Hong Kong private company?
An individual who ordinarily resides in Hong Kong, or a body corporate with its registered office or a place of business in Hong Kong.
Can the sole director also be the company secretary?
No. Section 475 of the Companies Ordinance prohibits a private company’s sole director from also acting as its company secretary.

Yes.
